just the gaskets it should be just easy, i know on the 3100/3400 its a direct swap, should be the same, just make sure and check for vac lines and ports and other stuff like that before you start removing parts
very little, you probably wont even feel or notice it, the port size are very close just a few "mm's" bigger are you changing the throttle body also?

The '96 & up SPFI 3400 was virtually the same motor as the '94 & up 3100 (not to be confused with the MPFI 3.1 LHO motor), just slightly bored out (with the same stroke), and 1.76" intake valves. All 3100s also got the same 1.76" intake valves from '00 on up, so only the bore was different between them at that point, making the 5-10hp/tq difference between a '00 & up 3100 and 3400. This is why a lot of early 3100 owners swap over to either 3400 or '00 & up 3100 top ends. It will gain you another 10 - 15hp/tq over a pre-'00 3100. No, it's not huge, but for what you can pick up those motors for these days... In fact, if you can find one cheap enough, you're better off snagging a whole 3400 motor, trans and wiring harness. That will net you around 25 crank hp more than your current motor if you get one from a later year car. For bolt-ons, FFP used to make a smaller underdrive pulley, which was good for around 7hp, and billet dog bone mounts with poly bushings. They no longer produce them, but used or NOS ones pop up now and then in the classifieds on w-body.com.
Other than that, there's not much you can do to the 3100 for a significant increase in performance short of boosting it.
is swaping throttle body and intake manifold a top swap? and the pully you talked about? is that for the 3100?
A true top swap includes the heads as well. This will be where a good portion of the power increase will come from on this swap. There's a pretty good list of what you'll need in the link below. Not sure if that's everything, but should be most of it. That's the best site for 60° V6 questions/info. This top end swap has been done many times by people on that site, so you can find out quite a bit digging around on there.

....I don't know about "plenty". There weren't exactly plenty of those cars made to begin with ('89 and '90, BTW, + 1000 4-door STEs made with the same turbo set up in '90 only), and who knows how many are left that haven't been sent to the crusher already by now. Also, the exhaust manifold ports from the TGP won't line up with a 31/400. It would be a lot of trouble to go through for a tiny ass Garrett T-25 set up. You'd be much better off powerwise creating your own custom turbo set-up.
bigger intakes = less air velocity at lower rpm,
im thinkin low end torque will "feel" faster then the minimal gains up top,
you might lose the race before you hit the power band
edit: ive never owned a 3.1, so swaping the intake might have no neg effects and add a bit of jam, just somthing to think about
